Resolution Approving the First Amendment to the Dawson Trails Boulevard Management Agreement By and Between Dawson Trails Metropolitan District No.1 and the Town of Castle Rock

Executive Summary

 

Dawson Trails Metropolitan District No. 1 (the “District”) is currently managing the Town’s Dawson Trails Boulevard CIP project (the “CIP Project”) pursuant to that certain Dawson Trails Boulevard Management Agreement between the District and the Town (the “Management Agreement”).  In conjunction with the development of the Dawson Trails project, the District is also processing a separate construction package (CD25-0036 and TES25-0025), which incorporates two round-a-bouts into the current construction of the CIP Project (at Quandary Peak Blvd. and Blanca Peak Blvd. respectively), while also installing water and sanitary sewer infrastructure and constructing the full section of Dawson Trails Blvd. (“DTB”) as well.  The District is respectfully requesting the Town Council to allow the District to modify the CIP Project and Management Agreement to incorporate the RABs, utility infrastructure and road widening.  This amendment will not have any schedule impacts to the Crystal Valley Interchange (CVI) project.

 

The District needs to construct utility improvements under Dawson Trails Boulevard, and two roundabout intersection connections as part of their development work.  If the Town’s improvements as part of CVI were to proceed this work, the Developer would need to remove certain segments of these improvements.  This request provides various benefits to the Town and the District including the following;  (1) monetary savings in excess of $3 MM via avoiding demolition of newly installed infrastructure and being able to perform construction work prior to DTB opening to the public (eliminating conflicts with public traffic, traffic control, etc.) and (2) minimizing inconvenience to the travelling public as a result of construction occurring on DTB concurrently with public traffic. 

 

The District is proposing to amend the existing CIP Project contract between the District and Bemas Construction to add this additional scope to the Bemas contract with the additional costs being borne not by the Town but by the District and amending the Management Agreement to reflect the foregoing and provide the Town the unequivocal right to require the District to abandon the RABs and other utility infrastructure and DTB paving and complete the CIP Project in accordance with the original scope of work in the event the RABs would cause the untimely completion of the Crystal Valley Parkway Interchange project. 

 

Staff Recommendation

 

Staff agrees that minimizing unnecessary newly constructed improvements is prudent.  However this should not occur at the risk of slowing down the schedule of the Town’s number one transportation priority.  This amendment provides the opportunity for staff to have control of when to move forward with the Town’s scope of work in order to keep CVI on track.  Staff is recommending approval of this resolution.
